The JSW Group, one of India’s largest industrial conglomerates, is in “advanced talks” to buy a majority stake in Volkswagen’s India operations. First reported by Bloomberg News and then by Reuters, this potential tie-up could change both companies and the larger Indian car market, bringing a new Indian company into the mix alongside Tata Motors and Mahindra.
The JSW Group is in discussions with Volkswagen AG for a controlling stake in Skoda Auto Volkswagen India Pvt Ltd (SAVWIPL), the German carmaker’s local subsidiary. The deal would provide Volkswagen’s India business with fresh capital and JSW with access to premium European auto technology and established production lines.
Skoda, which leads Volkswagen’s India operations, declined to comment directly on the negotiations but said it is “always considering new business opportunities” to take advantage of the potential of India’s dynamic market.
As the Sajjan Jindal-led JSW Group speeds up its automotive ambitions on multiple fronts, JSW is not only looking out for partnerships with global players, but it is also developing its own independent 636-acre EV manufacturing plant in Maharashtra with a total planned investment of Rs 27,200 crore; launching new modular EV platforms under the JSW MG Motor joint venture; and making multi-billion-dollar bets on battery cell localisation through a 30 GWh lithium-ion battery cell manufacturing plant.
What’s in it for JSW?
For JSW, this deal could be a strategic masterstroke, which would help it fast-track its ambitions in a rapidly changing market.
The auto sector’s transition from internal combustion engines (ICE) to New Energy Vehicles (NEVs) (including EVs and plug-in hybrids) has levelled the playing field. Legacy automakers no longer hold an insurmountable advantage of decades of innovations in ICE technology. JSW can bypass the traditional stages and build a modern high-tech automotive business from scratch.
JSW is licensing and adapting proven international technology, rather than spending years and billions on R&D. Partnerships with China’s SAIC (MG Motor) and Chery Automobile have already produced cost-competitive EV platforms and component designs. The Volkswagen stake would provide instant access to top European engineering and cut market entry timelines.
As one of India’s largest industrial groups, JSW has backend advantages. Its steel business offers supply chain efficiencies for automotive manufacturing, while its investments in battery cell production, EV components, and charging infrastructure create a full-stack EV ecosystem.
Learning from a failed solo EV entry in 2017, JSW has taken a two-pronged approach – immediate revenue & scale through partnerships (such as JSW MG Motor) and longer-term independence through its own mega-facility in Maharashtra for JSW-branded vehicles.
What does Volkswagen get?
The deal gives Volkswagen a much-needed local partner and capital boost after difficult years in India and exits from markets such as Russia and China.
With a partner that understands the needs of Indian consumers and the regulatory environment, Volkswagen can tap JSW’s financial muscle and operational reach to speed up growth in the world’s third-largest car market.
It can also tap into JSW’s strengths in supply chains and localisation to potentially reduce costs and gain competitiveness.
Volkswagen can also continue to build its brand in India while reducing risk, especially as the market moves to NEVs and tighter emissions standards.
Potentially a new car giant
If the Volkswagen stake is successful, JSW would be the first significant new Indian auto player to join Tata Motors and Mahindra & Mahindra in decades. JSW’s entry into the sector is different from past attempts by conglomerates, as the move to EVs, hybrids and PHEVs is changing traditional industry dynamics.
JSW, with its partnerships, vertical integration, and a full-stack EV strategy, could quickly evolve from an industrial powerhouse to an automotive giant. It paves the way for Volkswagen's renewed relevance in India. For the industry, it’s a sign that the era of homegrown disruption has begun.
